Terms of Service

These terms govern memgit Pro — the paid subscription for memgit — and memgit cloud (app.memgit.dev), the hosted sync service it unlocks. The service is operated by Hari Hara Sankar K A, a sole proprietor based in India ("we", "us"). By subscribing to memgit Pro or using memgit cloud, you agree to these terms.

The memgit CLI itself is free, open-source software licensed under the MIT License. These terms apply only to the cloud service — the CLI is governed by its own license on GitHub.

1. The service

memgit cloud syncs your memgit memories across machines and teams using end-to-end encryption. Everything you store is encrypted on your device before it is uploaded. The server holds only ciphertext.

• We cannot read your data. Memory content, thread names, team names, and repo names are all encrypted with keys derived from your passphrase, which never leaves your device.
• We cannot recover your data. If you lose your passphrase, your synced data is permanently unreadable — by you and by us. There is no reset. Keep your passphrase safe and keep local copies of anything critical.

The service is provided on a best-effort basis. We aim for high availability but do not guarantee uninterrupted service. Because memgit is local-first, your data remains fully usable on your own machine even when the cloud is unavailable.

2. Accounts

• You must provide accurate information when creating an account.
• One account is for one person. Team plans support multiple members, each with their own account — accounts must not be shared.
• You are responsible for keeping your credentials and passphrase secure. We cannot access your account's encrypted contents on your behalf.

3. Acceptable use

You agree not to:

• store or sync content that is illegal under Indian law or the law of your jurisdiction;
• abuse, overload, or attempt to disrupt the service, or circumvent rate limits and storage quotas;
• probe or attack the service's security other than responsible disclosure as described on our security page;
• resell access to the service without our written agreement.

The service applies fair-use rate limits. We may adjust limits to protect service stability for all users.

4. Payments

• memgit Pro is a recurring subscription priced in USD: $12/month or $99/year. Both intervals carry the same features.
• Your subscription renews automatically at the end of each period until you cancel. You can cancel at any time from the Polar customer portal linked in your purchase receipt; access continues until the end of the period you have already paid for.
• Purchases are made from and processed by Polar (polar.sh), which acts as the merchant of record for the transaction: Polar issues your invoice, collects payment, and handles any applicable sales tax, VAT or GST. We never see or store your card details.
• Each active subscription carries one licence key, delivered by email and shown in your Polar purchases page. Activate it with memgit pro activate <key>. The key stops being valid when the subscription ends.

5. Free trial

• New memgit cloud accounts get a 14-day free trial of the sync service with full functionality. The trial is granted on the cloud account and is separate from a memgit Pro subscription.
• When the trial ends without a purchase, writes pause — you can no longer push new data to the cloud.
• Your already-synced data remains readable and exportable after the trial ends. You are never locked out of your own data.

6. Termination

• You can delete your account at any time from the app or by emailing codeforyou4161@gmail.com. Deleting your account removes your data from our servers.
• We may suspend or terminate accounts that violate these terms (for example, abuse or illegal content). Where lawful, we will give you an opportunity to export your data first.
• Data export is always possible while your account exists — pulling your (encrypted) data down to your own machine is a core function of the service.

7. Disclaimer and limitation of liability

The service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. Our total liability for any claim arising out of the service is limited to the fees you actually paid us in the twelve months before the claim arose. We are not liable for data loss caused by a lost passphrase — by design, we cannot prevent or repair that.

8. Governing law

These terms are governed by the laws of India. Courts in India have jurisdiction over disputes, subject to any consumer-protection rights you hold in your own country.

9. Changes to these terms

We may update these terms as the service evolves. Changes are announced on this site, and the "Last updated" date above always reflects the current version. Continued use of the service after a change means you accept the updated terms.
